Focused Approach
Founded in 2005 after many years of in-house service, the firm provides focused guidance, support, and sound legal counsel to technology companies. Much of Rich’s practice involves negotiating and drafting complex technology and business agreements in the healthcare, financial services, manufacturing, and public sectors; developing sales and negotiation strategies with business development organizations; providing legal counsel to executive management and boards on IT and liability issues; managing customer/vendor dispute resolution processes and settlements; litigation management; and counseling and training on regulatory compliance (including HIPAA/HITECH and breach management).
Background
Rich's affinity for matters involving law, business, and technology developed early in his professional career. In the mid-1980s, he was vice president and counsel at two mutual fund organizations and two investment advisory firms, and counsel to a broker-dealer. Rich also managed a fixed income portfolio and worked with developers to improve operations.
From 1989-2000, Rich was in-house counsel at a global healthcare software company and worked closely with executive management in all segments of the company. He drafted and negotiated hundreds of domestic/international, in-bound/out-bound commercial transactions with private/public customers and vendors; participated extensively in all aspects of third-party business matters (from build/buy analysis through relationship management); provided education on licensing, sales, and negotiation strategies to internal sales/marketing staff; managed dispute resolution processes and supported litigation/arbitration matters; performed due diligence in M&A transactions; counseled on insurance, employment, and regulatory compliance matters; and developed company policies/procedures in connection with customers, third-party suppliers, and compliance.
In 2000, Rich moved into a business management position where he shared responsibility with the unit's general manager for the overall business and financial performance of the company’s largest product division. In that role, he was charged with increasing revenue and EBIT, managing global P&Ls, reducing liability exposure, negotiating settlements, building offshore development plans, and improving productivity. Rich also renegotiated key supplier contracts, coordinated strategic/tactical planning, synchronized activities with global affiliates, negotiated and managed vendor relationships, and implemented HR outsourcing and downsizing plans. He also served as the company’s export compliance control officer.
In 2003, Rich became director of global strategic alliances, where he initiated and managed global relationships with selected strategic vendors, and coordinated business/financial planning, in-house reviews/approvals, and dispute resolution processes. He was also the financial controller for U.S. group operations.
The accumulation of experiences and recommendations from colleagues led Rich to start a private law practice dedicated to representing technology companies. Since 2005, the Law Office of Richard Katz has earned the trust of leading technology companies and has performed many successful multi-year legal engagements.
Rich graduated cum laude with a Bachelor’s Degree in Political Science from the State University of New York at Oswego and received his Juris Doctor from the Widener University School of Law. Rich also matriculated credits toward an LLM degree in corporate law and finance at the Widener University School of Law. He is licensed to practice law in the Commonwealth of Pennsylvania and is a member of the Pennsylvania Bar Association, the PBA Health Care Law Committee, and the PBA In-House Counsel Committee.
Rich and his wife Nancy are the proud parents of three children. In addition to spending time with his family, Rich is an avid woodworker and enjoys tennis and collecting and restoring antique tools.
